Business Description

The SimplyBiz Group is a leading independent provider of support services and software to financial advisers and financial institutions. The Group serves over 5,600 intermediary firms and more than 350 financial institutions in the UK.

The Group delivers a platform for intermediary firms to run a compliant and successful business and enables product providers to reach the market more effectively. Our unique product data and market insights inform the purchase decisions of financial advisers and consumers and we enable product providers to design and optimise higher quality products for their markets.

The Group’s in-depth understanding of the changing regulatory landscape and deep insights into the needs of customers, advisers and product providers enable it to add unique value to the retail financial services sector.

Since our inception back in 2002, we have grown year on year and through acquisition, organic growth and innovation, we now have 14 leading brands, across all key sectors including investment, mortgage, consumer credit, workplace, estate planning and surveying.

The Group provides services to the demand-side, financial intermediaries, and the supply-side, financial institutions, of retail financial services via its three divisions, the Intermediary Services Division, the Distribution Channels Division and the Research and FinTech Division.

The Intermediary Services Division provides compliance and regulation services to over 3,700 individual financial intermediary Members, including directly authorised IFAs, directly authorised mortgage advisers, workplace consultants and directly authorised consumer credit brokers

The Group’s Intermediary Services Division is at the core of the Group’s business and operates on a membership basis with subscriptions paid monthly. In addition, Members purchase additional compliance and technical services, tailored to their business needs, and software, primarily in the form of back office CRM licenses.

The Distribution Channels Division provides marketing and promotion, product panelling and co-manufacturing services to more than 135 financial institutions, including 43 asset managers, 26 life assurance and pension companies, 46 mortgage lenders, 13 general insurance providers and 7 credit lenders. This division also undertakes survey panelling and surveying work for mortgage lenders. The Distribution Channels Division provides targeted access for product providers to reach the Group’s financial intermediary Members. Product providers enter into annual contracts for the services provided.

The Research and FinTech Division includes the Defaqto FinTech platform which is used by over 9,500 users and provides independent ratings of 21,000 financial products and funds, licensed by 250 financial services brands. Defaqto has a proprietary, scalable and flexible digital platform, supporting a rich database of financial products and providing unique information and insights to aid consumer and adviser purchase decisions.

Although our heritage can be traced to Yorkshire, we now operate from seven locations across the UK, employing over 400 dedicated professionals

As at 20 July 2020, the company's issued share capital consists of 96,804,024 ordinary shares with nominal value of 1 penny each (“ordinary shares”), each share having equal voting rights, therefore the number of Ordinary Shares with voting rights is 96,804,024. In accordance with the AIM Rule 26 in so far as the company is aware as at 20 July 2020, the percentage of the Company's issued share capital that is not in public hands is 46.23%.
